13、方在第一条第一款规定的场地内负责内部装修，按来装去丢原则，所有费用由乙方承担。2乙方的同步装修设计及施工方案必须于 年 月 日前提交甲方，得到甲方的认可后方可实施。3乙方专柜（厅）工程必须配合整体工程，符合有关消防安全要求和工程质量标准要求，在甲方的监督下，按计划并且安全有效地进行，因装修工程所引发的事故责任由乙方承担。4乙方对营业区内的装修、照明、水电容量等进行变更时，必须事先向甲方提出申请，得到甲方认可后，在甲方的监督下进行施工，其全部费用乙方承担。5乙方应于 月 日以前完成全部装修工程且不得影响甲方整体营业。6乙方重新进行装修必须经甲方同意按来装去丢的原则执行。7乙方商品营业区内的维修费

14、用由乙方负责。三、租赁酬金及资金往来办法1乙方使用甲方场地和相关设施，以甲方名义从事经营活动，乙方需向甲方支付租赁酬金。乙方在本合同签订时，必须向甲方一次性支付合同期内租赁费人民（大写） 元。2乙方在与甲方签订租赁合同后主动到工商部门办理营业执照和税务登记证方可经营，且营业执照由甲方统一保管。四、保证金1乙方在本合同签订时，必须向甲方支付人民币（大写） 元作为保证金。保证金不计利息，甲方在确认保证金到账后，向乙方开出保证金收据。2甲方在本合同期满或乙方撤柜三个月后，保证金50%退还给乙方，余下的50%待乙方在甲方的销售商品的保质期到期后，如无质量投诉，则一次性退还给乙方。3在合同期内由于乙方的

15、原因需解除合同，甲方与乙方未取得一致意见时，乙方保证金不予退还。五、费用的分担1甲方提供公用照明，乙方专柜展示用电，需单独装表计量，所耗费用由乙方承担。乙方如需单独用水，按实际使用量和当地供水部门价格计算，费用由乙方承担。2国家职能部门对乙方进行抽检等正常收费由乙方负担。4乙方派驻人员必须穿着甲方的营业员工作制服，工作制服由甲方按成本价向乙方提供，特殊情况着装必须经甲方同意。5其他收费方面如有责任不明的情况，由甲乙双方协商解决。六、营业区的管理1甲方因整体布局的需要，需对乙方场地进行调整，乙方应积极配合甲方的工作。2甲方规定统一营业时间，未经甲方许可，禁止乙方在规定营业时间内停业，或者在甲方规

16、定营业时间外营业。4由于乙方人员（含来访者和承包人）违反管理规则或过失造成本商场或指定营业区的物件损坏时，乙方必须与甲方迅速取得联系并负责承担因修理而发生的费用。5乙方必须服从甲方统一管理，协助甲方做好经营及管理工作。七、商品管理1乙方经营的商品和经营行为必须符合产品质量法、消费者权益保护法、价格法、反不正当竞争法以及中国的有关法律法规，禁止经销假冒、伪劣、过期、计量不足的商品，乙方对所经销的商品实行质量“三包”如有质量问题，应按中国有关法律法规负责维修、更换或退货，并按甲方对质量负责的惯例或做法处理。2乙方经营商品价格，不能违背价格法的规定。因价格原因引起的消费投诉（含售价高于甲方商场以外的

17、专柜或专卖店），甲方有权要求乙方支付超出差价部分10倍的违约金且无条件退货或退还差价，并承担由此造成的损失。3乙方经营的商品不得有侵犯他人商标权、著作权、代理权、专利权、图案权等行为，不得陈列和销售法律与政府规定的违禁物品，如违反，乙方除负有一切法律责任和经济责任外，甲方有权清退商品中止合同。 同时，乙方还必须向甲方赔偿不少于 元的名誉损失费，直至扣除乙方所有货款和货物及保证金。4乙方销售的商品以第一条第一款约定的范围为限，乙方如需新增或变更营业项目和商品，必须报甲方书面同意，上柜商品须经甲方审核，并缴清因新增商品的相关费用，使用甲方统一的商品标价签和有关进销单据方可陈列销售。5乙方必须无条件

18、接受甲方的货品、物价质量管理制度，并承诺不销售假冒伪劣商品，由于乙方的商品质量原因给顾客和甲方的利益、名誉、企业形象造成损失时，乙方必须立即接受退货并承担全部法律和经济责任，甲方有权予以处罚。6乙方不得有不正当的竞争行为，乙方的促销行为被判明侵犯他人利益时，甲方有权责令乙方中止该促销行为。若乙方不立即中止，甲方有权解除本合同。7乙方商品自行采购，自行管理库存，自行办理采购货款的结算。八、乙方员工的管理1乙方的员工，必须遵守甲方的各项规章制度，其工资和福利由乙方自行承担，标准不能低于国家有关政策之规定。2乙方员工的工作时间必须与甲方门店的营业时间一致，且不得与国家规定的劳动时间等政策法规相抵触。

19、3乙方对自己员工的行为必须承担全部责任，乙方人员如有违法、违纪行为。由乙方承担法律责任和经济责任。4乙方所有员工必须身着甲方规定的制服，另有约定除外。九、促销管理1乙方可在其经营范围内自主开展日常促销活动。2乙方举办的促销，须以甲方名义对外宣传（包括各级媒体），必须事前报甲方批准方可进行，以不影响甲方整体经营和形象为原则。如因促销内容和方式与甲方的经营活动相冲突时，服从甲方的统一调整。3甲方在节假日，或因竞争需要开展并主题促销，经共同扩大市场份额，乙方应配合参加。以达到整体效应。因组织、宣传、让利等原因产生的费用，乙方须根据该档促销期内之销售占比负担一定比例的费用。4乙方单独组织的大型促销，报

20、甲方批准后，甲方配合执行。十、有效期限1本合同的有效期自 年 月 日起至 年 月 日止。2乙方希望续签本合同时，必须在本合同期满前三个月向甲方提出书面申请，经甲乙双方协商一致后，可续签合同。3合同期满前三个月，乙方未提出合同续签申请，或者根据规定双方就续签未达成协议时，期满后，本合同自行终止。4乙方在合同期限内有持续经营的义务，如事先未得到甲方书面同意擅自中止营业时，乙方支付的租赁酬金甲方不予退款。十一、甲方对下述情况不负有责任1 非甲方直接责任引起的火灾、自然灾害、意外事故、设备故障造成损失，甲方不负有责任。2 乙方在营业区内发生的任何由于乙方责任造成的损失，甲方不负任何责任。十二、违约责任

21、1 甲乙双方任何一方如违反本合同上述各项规定，对方均有权终止本合同，违约一方应负责赔偿对方的一切损失，除合同条款中已有违约金。是选择赔偿损失或支付违约金，按合同法的规定办理。2 乙方代理人、指定人或受雇人如违反本合同的行为，均视为乙方自己的行为。3 乙方在合作期内，不得伪造甲方的印鉴、票据、甲方人员签字等损害甲方的行为。如有违反，除承担甲方因此所造成的损失外，视情节轻重，除追究乙方相关法律责任外，乙方还必须向甲方一次性赔偿1万元以上的违约金，并终止合作。十三、其他1 乙方必须取得商品经营所必需的一切手续，手续费用由乙方承担，因乙方手续延误而造成的责任，由乙方负责。2 本合同内容在甲乙双方签字之
